These Terms of Service ("Terms") govern your use of the website and services provided by SmarterTel, a service of LiraTechs LLC ("SmarterTel," "we," "us," or "our"). By using our website or services, you agree to these Terms.
1. Services
We provide business VoIP phone systems, internet, fax, messaging, and related communications services. The specific services, fees, and terms applicable to you are described in your service agreement, order, or invoices, which supplement these Terms.
2. Accounts & Responsibilities
- You are responsible for the accuracy of information you provide and for maintaining the security of your account credentials.
- You agree to use our services lawfully and not to misuse, disrupt, or attempt to gain unauthorized access to our systems or networks.
- You are responsible for obtaining any consents required for messages you send through our services and for complying with all applicable laws (including the TCPA and CTIA messaging guidelines).
3. Acceptable Use
You may not use our services to transmit unlawful, fraudulent, harassing, or prohibited content, or content that violates carrier rules (including SHAFT — Sex, Hate, Alcohol, Firearms, Tobacco — and other restricted categories). We may suspend or terminate services for violations.
4. Fees & Billing
Fees are billed as described in your service agreement and invoices. Unless otherwise stated, recurring charges are billed monthly. Late payments may be subject to suspension of service. You are responsible for applicable taxes and carrier/regulatory pass-through fees.
5. Third-Party Services
Our services rely on third-party providers (such as telecommunications carriers and software vendors). We are not responsible for outages, delays, or issues caused by third parties or by factors outside our reasonable control.
6. Service Availability
We work to provide reliable service but do not guarantee uninterrupted or error-free operation. Emergency services, message delivery, and call completion depend on carriers, networks, and devices outside our control.
7. Disclaimers & Limitation of Liability
Services are provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by law. To the maximum extent permitted by law, LiraTechs LLC is not liable for indirect, incidental, special, or consequential damages, and our total liability for any claim is limited to the amounts you paid us for the affected service during the prior three (3) months.
8. Indemnification
You agree to indemnify and hold harmless LiraTechs LLC and SmarterTel from claims arising out of your use of the services, your content/messages, or your violation of these Terms or applicable law.
9. Termination
Either party may terminate services as set out in the applicable service agreement. We may suspend or terminate access for non-payment or violation of these Terms.
10. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
11. Changes
We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance.
